CORPORATE ENTITY
Lucaz Design Ltd. is a UK-based private limited company.
Ownership structure:
– Cora Lucaz — 60%
– Kristian Groth — 40%
All equity is held at the operating level under Lucaz Design Ltd.
INTELLECTUAL PROPERTY
All original creative work — including sketches, technical drawings, product designs, names, and visual identity — is created by Cora Lucaz.
Lucaz Design operates two product streams with distinct IP treatment:
CORE COLLECTION
All designs are entirely authored by Cora Lucaz.
100% of design IP remains solely with her, including future works.
LUCAZ RE:BORN
Based on acquired or licensed rights and subsequently re-developed.
IP ownership within this stream is structured as:
– 60% Cora Lucaz
– 40% Kristian Groth
IP HOLDING STRUCTURE
If required, intellectual property may be housed within a dedicated IP-holding entity and licensed to Lucaz Design Ltd. for commercial use.
This structure provides:
– Protection of creative assets
– Flexibility in future fundraising
– Clear separation between operating risk and IP ownership
INVESTOR TREATMENT OF IP
– Investors hold no claim to past, present, or future design IP
– Equity reflects ownership in the operating company only
– All agreements include an explicit IP carve-out clause
– IP protection mechanisms remain in place across all financing rounds
RAND ARCHITECTURE
Lucaz Design operates as a single brand comprising two distinct product lines:

Original lighting, furniture, and objects
Design IP: 100% Cora Lucaz
LUCAZ RE:BORN
Acquired and re-developed design rights

Both product lines share:
