Legal & IP Structure

Lucaz’s legal framework is designed to ensure clear ownership, enforceable intellectual property protection, and structural flexibility for future investment and growth. The underlying principle is that the company should be able to raise capital and expand commercially without compromising the authorship and long-term stewardship on which the design house is built.

CORPORATE ENTITY

Lucaz is a founder-led company established and owned by Cora Lucaz.

The corporate structure will be developed to accommodate future minority investment while preserving clear founder control and long-term strategic continuity.

INTELLECTUAL PROPERTY

All original creative work within the Core Collection — including sketches, drawings, product designs and subsequent design development — originates with Cora Lucaz.

Lucaz operates two product streams with distinct IP origins and therefore distinct legal requirements.

CORE COLLECTION

The Core Collection consists entirely of original works conceived by Cora Lucaz.

The intended structure is for the underlying design rights to remain under her control, with appropriate rights granted to Lucaz for development, manufacture, marketing and commercialisation.

Technical development undertaken with consultants, engineers, manufacturers and other collaborators will be governed by contractual provisions designed to ensure that resulting production knowledge, drawings, specifications and relevant technical rights remain available to Lucaz.

LUCAZ RE:BORN

Lucaz Re:born operates through a separate IP framework based on the acquisition or exclusive licensing of rights to selected historic works.

Rights may be acquired individually or, where strategically appropriate, through archives, estates, manufacturers or small-scale brand acquisitions. Each opportunity will require its own legal due diligence covering provenance, copyright and design rights, trademarks where relevant, territorial scope, exclusivity, adaptation rights, reproduction rights and duration.

No Re:born work will be commercialised without a sufficiently clear and defensible rights position.

IP HOLDING STRUCTURE

As Lucaz develops, intellectual property may be held either directly by the founder or through a dedicated IP-holding structure and licensed to the operating company for commercial use.

The final structure will be determined with specialist legal and tax advice, with the objectives of:

– Protecting core creative assets
– Separating IP from unnecessary operating risk where appropriate
– Preserving founder control
– Supporting future minority investment
– Providing clear commercial rights to the operating company
– Maintaining flexibility across jurisdictions and future financing rounds

INVESTOR TREATMENT OF IP

Investment in Lucaz is intended to provide participation in the commercial development of the company rather than ownership of Cora Lucaz’s underlying authorship.

The precise treatment of IP will be established in the relevant shareholder, investment and licensing agreements. Any financing structure should clearly define the relationship between equity ownership, commercial exploitation rights and underlying intellectual property.

IP should not be transferred as an incidental consequence of raising capital.

BRAND ARCHITECTURE

Lucaz operates as one design house with two distinct product streams:

CORE COLLECTION
Original lighting, furniture and objects conceived by Cora Lucaz.

LUCAZ RE:BORN
Selected historic works brought into Lucaz through acquired or exclusively licensed rights and developed within a distinct legal and commercial framework.

Both operate under the Lucaz identity and may share infrastructure, production knowledge, communications and commercial channels, while maintaining the different IP structures required by their origins.

LEGAL SAFEGUARDS

Lucaz will progressively establish protection appropriate to each market and product, including:

– Trademark protection in priority jurisdictions
– Registered design protection where strategically appropriate
– Copyright protection where applicable
– Confidentiality and NDA provisions during development
– Clear IP and confidentiality clauses across consultant, employee, maker and supplier agreements
– Ownership and access provisions for technical drawings, specifications, prototypes and production documentation
– Appropriate acquisition, licensing, reproduction, adaptation and distribution rights for Lucaz Re:born

STRUCTURAL PRINCIPLE

The legal structure should enable commercial growth without allowing ownership of the company, ownership of creative work and rights to commercialise that work to become unnecessarily blurred.

Lucaz is being built as a long-term, founder-led design house. Its legal architecture should therefore protect authorship, creative control, production knowledge and strategic flexibility while providing investors and commercial partners with clearly defined and enforceable rights.
